    1. Acceptance of Terms

    By accessing or using the TixGiving Foundation Inc. website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

    TixGiving Foundation Inc. is a 501(c)(3) tax-exempt charitable organization (EIN: 33-4094834) dedicated to redistributing donated event tickets to individuals and nonprofit organizations in need.

    2. Eligibility

    You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

    3. Account Registration

    To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

    You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

    4. Ticket Donations

    When you donate tickets through our platform, you represent and warrant that:

    • You are the rightful owner of the tickets or have authorization to donate them
    • The tickets are valid and have not been previously used, transferred, or sold
    • The information you provide about the tickets is accurate and complete
    • The donation is made voluntarily without expectation of goods or services in return

    TixGiving Foundation Inc. reserves the right to verify ticket validity and decline donations that do not meet our standards.

    5. Ticket Distribution

    Tickets are distributed through our partner nonprofit organizations to individuals and families in need. Distribution decisions are made at the sole discretion of TixGiving Foundation Inc. and our partner organizations based on availability and community need.

    6. Partner Organizations

    Nonprofit organizations may apply to become partner organizations to receive ticket allocations for their beneficiaries. Partner organizations must maintain their 501(c)(3) or equivalent tax-exempt status and comply with our partnership guidelines.

    7. Tax Deductibility

    TixGiving Foundation Inc. is a 501(c)(3) tax-exempt public charity. Donations of tickets may be tax-deductible to the extent permitted by law. The deductible amount is generally the fair market value of the tickets at the time of donation, less any goods or services received in exchange.

    We provide written acknowledgment for all donations as required by IRS regulations. Donors are responsible for determining the fair market value of their donations and should consult with a qualified tax advisor regarding their specific tax situation.

    8. Prohibited Conduct

    You agree not to:

    • Use our Services for any unlawful purpose
    • Provide false or misleading information about donations or their value
    • Attempt to gain unauthorized access to our systems
    • Interfere with or disrupt our Services
    • Misrepresent your identity or affiliation
    • Harass, abuse, or harm other users or our staff

    9. Intellectual Property

    All content, trademarks, and intellectual property on our platform are owned by or licensed to TixGiving Foundation Inc. You may not use, reproduce, or distribute our content without prior written permission.

    10. Disclaimer of Warranties

    Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee the validity, availability, or quality of any tickets or events listed on our platform. We are not responsible for event cancellations, venue changes, or any issues arising from event attendance.

    11. Limitation of Liability

    To the fullest extent permitted by law, TixGiving Foundation Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services or any tickets obtained through our platform.

    12. Indemnification

    You agree to indemnify and hold harmless TixGiving Foundation Inc., its officers, directors, employees, volunteers, and agents from any claims, damages, losses, or expenses arising from your use of our Services or violation of these Terms.

    13. Modifications to Terms

    We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

    14. Termination

    We may suspend or terminate your account and access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use our Services will immediately cease.

    15. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
